We are looking for a motivated, senior commercial attorney to support Splunk’s sales growth in Splunk’s AMER sales theater, with a focus on complex, out-bound enterprise cloud transactions. The role will require legal expertise in cloud technology transactions across a variety of industries and markets, with a bonus for public sector and international experience. You will play an important role in developing and growing the commercial legal function at Splunk. We will value your experience with data privacy law and the legal and business considerations that come with selling cloud to the enterprise. You will support sales, go-to-market strategy, and partner teams with a focus on structuring and negotiating complex, cloud technology sales agreements. You will participate in cross-functional initiatives to help scale for growth and drive business objectives. This role will report to the Commercial Legal Director (Amer).

You possess excellent business intuition and critical thinking, can perform independently as well as cross-functionally, and demonstrate flexibility in a dynamic team environment. You have the know how to prioritize and drive multiple initiatives to conclusion independently and in a timely manner. You possess strong negotiation, presentation, and communication skills (oral and written). You are self-motivated, self-reliant, and confident, have the ability to adapt to a dynamic and exciting environment, and have a good sense of humor!

Responsibilities:

  • Lead complex commercial transactions, with a focus on enterprise cloud and technology sales.
  • Effectively advise, educate and team to resolve data privacy, data security and cloud commercial issues in support of strategic negotiations.
  • Build strong internal and external relationships while balancing the needs in Splunk’s AMER field theater with Splunk’s global strategy and priorities;
  • Structure and negotiate outbound software licenses, sales channel and strategic alliance sales, system integrator and managed service provider contracts;
  • Implement policies and advise on relevant laws impacting Splunk’s commercial activities and its customers;
  • Provide continuous improvement of agreements and legal processes;
  • Implement initiatives that advance Splunk’s business including Splunk’s priorities and initiatives; and
  • Perform other legal responsibilities as requested.

Requirements:

  • Licensed to practice law, California preferred; Law degree with excellent academic credentials.
  • At least 10 years’ experience in SaaS, cloud computing, and enterprise software.
  • In-house experience strongly desired and previous experience in the legal department of a US listed company preferred; law firm experience is a plus.
  • Deep substantive transaction experience with complex contract and/or licensing agreements, working with two-tier sales partners and experience working in fast-paced technology companies are required.
  • Deep experience in compliance, data security, privacy, and intellectual property matters, and strong knowledges of local data protection laws required, with knowledge of data protection laws of other countries preferred.

Base Pay Range

SF Bay Area, Seattle Metro, and New York City Metro Area

Base Pay Range: $208,000.00 - 286,000.00 per year

California (excludes SF Bay Area), Washington (excludes Seattle Metro), Washington DC Metro, and Massachusetts

Base Pay Range: $190,400.00 - 261,800.00 per year

All other cities and states excluding California, Washington, Massachusetts, New York City Metro Area and Washington DC Metro Area.

Base Pay Range: $174,400.00 - 239,800.00 per year

Splunk provides flexibility and choice in the working arrangement for most roles, including remote and/or in-office roles. We have a market-based pay structure which varies by location. Please note that the base pay range is a guideline and for candidates who receive an offer, the base pay will vary based on factors such as work location as set out above, as well as the knowledge, skills and experience of the candidate. In addition to base pay, this role is eligible for incentive compensation and may be eligible for equity or long-term cash awards.
