Job Description:

Splunk Legal is a collaborative team of lawyers and legal professionals who help accelerate Splunk’s continuing success by providing creative and practical answers to cutting edge legal questions. Splunk Legal delivers thoughtful solutions that enable Splunk to grow its industry leadership position globally.

Splunk is seeking a Director of Public Sector Legal to be located in Tysons, VA leading a team of legal professionals supporting Public Sector sales teams, partners, and other initiatives in the U.S., Canada, and EMEA by providing the leadership to enable growth while mitigating legal risks and ensuring compliance with law. A validated management track record of success with sophisticated software and cloud transactions across US Public Sector (including SLED) and assuring compliance with regulatory requirements, including the management of classified US and NATO government information is required. This position reports to the Director, Legal, Public Sector. 

The successful candidate must (1) be an experienced manager; (2) possess strong business judgment, (3) work independently as well as collaboratively in a collegial, fast paced environment; (4) make quality decisions with the appropriate level of information, (5) consistently deliver timely, successful outcomes and (6) possess the skills and experience necessary to assure the professional development and advancement of the team, and (7) be able to obtain and maintain a U.S. Government security clearance at the Top Secret level.

Responsibilities:

Revenue Focus

Managing the team of legal professionals that advise the Splunk Public Sector business with respect to software licensing and compliance with government contracting rules and requirements, while also managing government security professionals with authority over company facility clearances (“FCLs”) and Splunk employees/contractors/subcontractors holding personal government security clearances, including the U.S. Facility Security Officer (“FSO”) and his/her team; and the Canadian Company Security Officer. Matrix management of the U.K./EMEA Security Controller and other government security professionals, as needed, are additional responsibilities.

Drafting, review, editing and negotiation of software licenses, SaaS terms of service, intellectual property agreements, partner agreements, and other agreements in support of US Public Sector Sales, Channels, and Service organizations. Supporting the continuous improvement and evolution of standard form agreements, playbooks, contract templates, and legal processes for the Public Sector business.

Working cross functionally within Splunk to support contracting and order processing in the US, Canadian and, as needed, international Public Sector business. Advising business clients on sophisticated deal structures, approval processes, company policies and procedures, government contract-related IP, negotiation strategy, certification and related licensing issues are additional requirements.

Compliance Focus

Providing Federal Acquisition Regulation (FAR) subject matter expertise, particularly commercial item contracting under FAR Part 12.

Developing and maintaining processes and policies to ensure compliance with all laws relevant to the U.S. and Canadian public sector and U.K. Public Sector classified business, and in particular, those laws and regulations related to the company’s use and management of classified and controlled unclassified government information.

Working collaboratively with cross-functional teams to assure that submissions to government entities are accurate and follows law; developing, conducting and supervising ethics and compliance training for Public Sector employees on Splunk’s policies and procedures and government rules and regulations; and performing ethics and compliance risk assessments and policy gap analysis.

Team Building and Mentorship Focus

Ability to lead and mentor a cross functional team of attorneys, contract managers and government security professionals in a high growth IT environment.

Professional requirements:

Education

Juris Doctorate from a top tier law school and a member in good standing with the mid-Atlantic state bar or have a mid-Atlantic state-corporate counsel status within six months of employment with Splunk.

Professional qualifications

Possess outstanding legal capabilities and judgment; have 10+ years experience in leading teams of professionals; and possess in-depth experience in enterprise software licensing, partner transactions, intellectual property matters, and a demonstrated experience in federal, state and local government contracting, open-source, privacy laws, cybersecurity laws, antitrust and contract laws. Knowledge of the FAR/DFARS/EAR/ITAR, prime and subcontract formation, contract terminations for default or convenience, suspension and debarment, False Claims Act and defective pricing actions, procurement integrity issues, bid protests, MOU/CRADA development, military and civilian partners with industry training, government-certified procurement systems, foreign military sales/foreign military financing, GSA, SEWP and other GWAC Schedules, etc. are strongly recommended. Familiarity with SACC clauses and DEFCONs are a plus.

Experienced manager and advisor of government security offices or classified programs with control and oversight of government classified information entrusted to the company and/or its subsidiaries.

Experience in investigations, audits and compliance matters pertinent to Public Sector.
